End User License Agreement (EULA) for Subtitle Sphere

Effective Date: May 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Subtitle Sphere ("Licensor," "We," or "Us") for the use of Subtitle Sphere ("Software"). By installing, accessing, or using the Software, You agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, do not install, access, or use the Software.

1. Grant of License

Licensor grants You a non-exclusive, non-transferable, revocable license to use the Software solely for personal or professional purposes, but not for resale, modification, or distribution, subject to the limitations set forth in this Agreement. You acknowledge that this license is only for use of the Software and does not transfer ownership of the Software.

The Software is the exclusive property of Licensor and is protected by copyright laws and international treaties. This Agreement grants You no ownership rights over the Software, only a limited right to use it under the terms of this Agreement.

4. Internet Connectivity

The majority of the Software's functions operate offline on the user's local system. However, certain features of the Software, such as AI-powered SRT generation from plain text, voice narration, Whisper-Google Fusion, Google transcription and translation services, require an internet connection. These features rely on third-party services (such as Google Speech Recognition, Google Translate and Google gTTS), and the availability, accuracy, and performance of these services are not guaranteed by the Licensor. You acknowledge that these services may be subject to their own terms and conditions. By using the Software, You agree to comply with the terms and conditions of any third-party services (e.g., Google Speech Recognition, Google Translate, Google gTTS) required for the functionality of certain features.

5. Privacy & Data Usage

Subtitle Sphere primarily operates as an offline software, with most functions performed locally on the user's device without any data transmission. The Software itself does not collect, store, or transmit any personal data directly. However, certain features, such as AI narration (text-to-speech), translation, Google transcription and SRT generation from plain text, rely on third-party services like Google Speech Recognition, Google Translate and Google Text-to-Speech (gTTS), which may involve transmitting data (e.g., text for translation or speech generation) to those services. You are responsible for ensuring that your use of these services complies with applicable data protection regulations and any usage limits imposed by the third-party services. Subtitle Sphere is not responsible for any privacy, data protection, or usage limit issues arising from third-party services.

6. Term and Termination

This Agreement is effective from the date You install or use the Software and continues until terminated. Licensor may terminate this Agreement at any time if You breach any of the terms herein. Upon termination, You must cease using the Software and destroy all copies in Your possession.

7. Limited Warranty

The Software is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be error-free or that it will meet Your requirements. Licensor does not warrant that the Software will be compatible with other software, systems, or hardware configurations.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold Licensor harmless from and against any claims, liabilities, damages, losses, and expenses, including legal fees and costs, arising from Your use of the Software or breach of this Agreement.

10. Updates and Modifications

Licensor may provide updates or modifications to the Software at its discretion. Such updates may be required for continued use of certain features. Licensor reserves the right to modify, suspend, or discontinue any aspect of the Software without prior notice or liability.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be resolved in the courts of Ontario, Canada.

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between You and Licensor regarding the use of the Software and supersedes any prior agreements or understandings, whether written or oral.

14. Commercial Use and Attribution

If you use the Software for commercial purposes, including but not limited to the creation of subtitles, translations, or AI narration for paid projects, publications, or media, you agree to provide clear and visible attribution to Subtitle Sphere. An acceptable form of citation is: "Subtitles (or Translation/AI Narration) generated using Subtitle Sphere," with a link to the original website where applicable. This attribution must appear in any credits, publications, or wherever the work is publicly displayed or distributed. Failure to provide appropriate attribution may result in the termination of this license and potential legal actions for infringement.

15. Commercial Use and Licensing

The Software is currently provided free for personal and professional use, including offline and online features. However, any commercial use of the Software, including but not limited to incorporating its output into paid services, products, or media, may require a commercial license in the future. If you intend to use the Software for significant commercial purposes, such as incorporation into a paid service, product, or media, or if your commercial use exceeds a specific revenue threshold or user base, please contact us to discuss potential licensing options. We reserve the right to modify the licensing terms at any time. Failure to obtain a commercial license, if required, may result in the termination of this Agreement.

16. Feedback and Contributions

We welcome any feedback or contributions to improve the Software. By submitting any feedback, ideas, or modifications, you agree that the Licensor can freely use, modify, and incorporate them into future versions of the Software without any obligation to you.

17. Software Nature and Data Control

Subtitle Sphere is primarily an offline software that operates on the user's local system. The majority of its functions, including audio & video transcription and subtitling, are performed entirely on the user's device without any data transmission. Internet connectivity is only required for specific features such as translation, Google transcription, and SRT generation from plain text file, which utilize third-party services (Google Translate, Google Speech Recognition, and Google Text-to-Speech).

When using these online features:

  1. Data is transmitted directly from the user's device to the third-party service providers without passing through Subtitle Sphere's servers.
  2. Users maintain full control over when and what data is transmitted to these third-party services.
  3. Users are responsible for ensuring their use of these third-party services complies with the respective terms of service and data policies.

Subtitle Sphere is currently offered as a free software for both personal and professional use. However, we reserve the right to modify our licensing terms, including the potential introduction of paid features or commercial licensing requirements, in the future. Any such changes will be communicated to users and will not affect the core offline functionality of the software.

18. Software Disclaimer

Subtitle Sphere is provided as a free software product, developed by a small and dedicated team with the goal of delivering value to our users. We acknowledge that no software can be guaranteed entirely error-free or flawless. Please note the following:

19. Trademark and Material Usage

You agree not to use, reproduce, modify, or distribute any of our trademarks, logos, instructional videos, materials, or any other proprietary content associated with the Software without our express written permission. This includes, but is not limited to:

20. Unauthorized Access and Tampering

You are strictly prohibited from engaging in any activities that compromise the integrity, security, or intended use of Subtitle Sphere, including but not limited to:

Such actions are considered a material breach of this Agreement and may also constitute violations of applicable laws. Subtitle Sphere reserves the right to pursue all available legal remedies against individuals or entities that engage in unauthorized activities. If we catch someone engaging in unauthorized access or tampering, we will immediately discontinue providing support.

21. Terms of Use — Video Import from URL

This software provides functionality to extract audio and video from publicly available video URLs for purposes such as transcription, translation, or other personal uses. By using this software, you agree to the following terms and conditions:

  1. Lawful Use Only: This tool is intended for lawful use only. Users are responsible for ensuring that their use of the tool complies with all applicable copyright laws, intellectual property rights, and platform-specific terms and conditions.
  2. Content Ownership and Permission: Users must either:
    1. Own the content being processed (e.g., be the creator of the video or audio),
    2. Or have explicit permission from the content owner to process the content.
    Users also confirm that the content processed does not infringe upon the rights of others.
  3. Compliance with Platform Terms: Users acknowledge that downloading or processing content from platforms like YouTube may violate their Terms of Service unless explicitly authorized by the platform or content owner. By using this tool, users confirm their compliance with such Terms of Service and understand the legal responsibilities involved.
  4. No Responsibility of Developers: The developers of this software do not host, store, or redistribute third-party content. All downloads, processing, and transcriptions occur locally on the user's device. The developers bear no responsibility for any content handled through this tool.
  5. User Responsibility: Users are solely responsible for how they utilize this tool. This includes adhering to all applicable laws, regulations, and licensing conditions. The software is provided "as-is," and the developers are not liable for any legal consequences resulting from its use. Redistribution, commercial use, or storage of copyrighted material without permission is strictly prohibited.
  6. Indemnity: By using this tool, users agree to indemnify and hold harmless the developers, their affiliates, and any related third parties from any claims, losses, or damages (including legal fees) resulting from the use of this software.

Acknowledgment and Agreement: By using this software, you confirm that you have read, understood, and agreed to these terms and conditions. If you do not agree with any part of these terms, you must discontinue use of the software immediately.

22. Terms of Use — Import Transcripts from URLs

This software provides functionality to download transcripts of publicly available YouTube videos for purposes such as transcription, translation, or other personal uses. By using this software, you agree to the following terms and conditions:

  1. Lawful Use Only: This tool is intended for lawful use only. Users are responsible for ensuring that their use of the tool complies with all applicable copyright laws, intellectual property rights, and platform-specific terms and conditions.
  2. Content Ownership and Permission: Users must either:
    1. Own the content being transcribed (e.g., be the creator of the video or the transcript),
    2. Or have explicit permission from the content owner to download and process the transcript.
    Users also confirm that the content and transcripts being processed do not infringe upon the rights of others.
  3. Compliance with Platform Terms: Users acknowledge that downloading or processing transcripts from platforms like YouTube may violate their Terms of Service unless explicitly authorized by the platform or content owner. By using this tool, users confirm their compliance with such Terms of Service and understand the legal responsibilities involved.
  4. No Responsibility of Developers: The developers of this software do not host, store, or redistribute third-party content or transcripts. All transcript downloads and processing occur locally on the user's device. The developers bear no responsibility for any content handled through this tool.

23. Use of Publicly Available Libraries

This software utilizes publicly available Python libraries, specifically yt-dlp and youtube_transcript_api, to provide functionality such as downloading YouTube video transcripts. The software serves solely as a graphical user interface (GUI) that facilitates user interaction with these libraries. It does not host, store, or redistribute any third-party content. All actions and processing occur locally on the user’s device.

Library Acknowledgments: The aforementioned libraries are open-source and governed by their respective licenses. By using this software, you acknowledge that:

  1. The libraries used are maintained by third-party developers and are independent of this software.
  2. The functionality offered through this software is directly dependent on those libraries, and their continued availability and behavior may change independently of this software.
  3. Use of the libraries is subject to their own licensing terms and any applicable usage restrictions or disclaimers.
  4. This software does not modify or alter the behavior of the libraries, but simply enables users to access them more easily through a user-friendly interface.

By continuing to use this software, users agree to comply with the respective licenses and terms of the integrated libraries. The developers of this software disclaim all liability arising from the use or misuse of these libraries, and provide no warranty regarding their reliability, compatibility, or legal usage in any specific jurisdiction.

This software is not affiliated with, endorsed by, or in any way officially connected with OpenAI, YouTube, Google LLC, or any of their subsidiaries or affiliates. All product and company names are trademarks™ or registered® trademarks of their respective holders. Use of them does not imply any affiliation or endorsement.

26. Non-Commercial Software Disclaimer

This software is provided free of charge and is intended solely for personal, educational, and non-commercial use. No part of this software is monetized, and no content is hosted, stored, or sold by the developers.

The primary purpose of the software is to simplify access to publicly available, open-source tools via a user-friendly graphical interface. The developers receive no compensation for this software and do not profit, directly or indirectly, from its use.

Subtitle Sphere is a local desktop application. It does not collect, upload, download, store, or transmit any user data. All processing occurs directly on the user’s own device using open-source Python libraries. The software does not perform unauthorized access to any third-party services and relies only on tools available for personal and educational use.

By using this software, you acknowledge and agree that it is offered purely as a convenience, and that it remains your responsibility to ensure all use complies with applicable laws and platform terms of service.
